eCom Profits is hiring a Senior Legal Counsel (M&A and Expansion) to lead strategic mergers, acquisitions, and new market entry initiatives across Germany and beyond. This high-impact, business-facing role reports directly to the General Counsel and is central to shaping the company's growth strategy.
What You'll Do
- Own the legal strategy for M&A and expansion, supporting the company's entry into new markets and acquisition of targets.
- Lead legal aspects of M&A transactions, from due diligence and documentation to post-deal integration.
- Coordinate external legal advisors across jurisdictions, ensuring effective legal spend, risk management, and timely execution.
- Advise senior stakeholders on corporate structuring, acquisition financing, regulatory issues, and antitrust matters in target markets.
- Manage and negotiate complex corporate documents, including SPAs, JV agreements, shareholder agreements, and intercompany frameworks.
- Drive legal integration efforts, including alignment of customer contracts, AML frameworks, compliance policies, and internal controls.
- Collaborate with cross-functional teams (Strategy, Operations, People, Customer Success) to ensure transactions are successful and aligned with wider business goals.
- Take ownership of legal project management, ensuring efficient delivery, stakeholder coordination, and proactive legal risk mitigation.
What We're Looking For
- Completed legal studies (German Second State Exam, J.D., LL.B./LL.M., or equivalent qualification).
- At least 3 years of post-qualification experience, ideally in corporate/M&A law—either in a top-tier law firm or an in-house legal team—with a strong track record of leading complex transactions.
- Proven expertise in cross-border M&A and a sound understanding of related corporate finance and regulatory frameworks.
- Excellent drafting skills and the ability to manage large-scale legal projects with multiple stakeholders.
- Fluent English and solid German language skills.

- Previous exposure to financial services, funds regulation, or fintech.
