The Legal Counsel will lead commercial contracting, support corporate operations, manage IP and confidentiality processes, and build legal infrastructure from the ground up in a stealth-mode battery startup focused on revolutionizing clean energy technology. This role offers significant impact working closely with leadership in a mission-driven environment.
What You'll Do
- Lead drafting, negotiation, and execution of MSAs and commercial supply agreements
- Lead drafting, negotiation, and execution of customer purchase agreements
- Lead drafting, negotiation, and execution of vendor and procurement contracts
- Lead drafting, negotiation, and execution of manufacturing and services agreements
- Lead drafting, negotiation, and execution of NDAs and evaluation agreements
- Own contract lifecycle management and internal approvals
- Develop fallback language and standardized positions
- Support Operations, Engineering, and Procurement with responsive legal guidance
- Maintain corporate records and governance documentation
- Support board materials and financing document coordination
- Assist with employment-related documentation in partnership with external counsel
- Coordinate regulatory filings and compliance documentation where applicable
- Manage NDA processes at scale
- Coordinate patent prosecution and IP filings with outside counsel
- Maintain internal IP tracking and assignment documentation
- Build contract playbooks and clause libraries
- Implement and manage contract tracking systems
- Create legal intake workflows and response SLAs
- Reduce outside counsel reliance for recurring matters
What We're Looking For
- JD and active bar membership
- 5–7 years of legal experience (combination of law firm and/or in-house)
- Strong commercial contracting experience required
- Ability to independently manage negotiations with limited supervision
Nice to Have
- Experience negotiating complex vendor or supply agreements preferred
- Experience supporting venture-backed or scaling companies preferred
- Familiarity with manufacturing, hardware, or regulated industries is a plus
