About the role The Legal Counsel is tasked with guaranteeing that our commercial agreements are precise, legally compliant, and strategically designed. This position drives sustainable expansion and cultivates robust partnerships, empowering SFG20 to execute its mission of improving building infrastructures. Key responsibilities include: - Compose, analyze, and negotiate diverse commercial agreements, encompassing SaaS, software licensing, reseller, partnership, and enterprise customer contracts. - Deliver practical legal guidance and innovative solutions to the CRO and sales managers, facilitating deal structuring, risk evaluation, and contract finalization. - Spearhead negotiations with clients, vendors, and technological collaborators, ensuring contracts are commercially robust and legally sound. - Facilitate international contracting by providing counsel on cross-border agreements and ensuring compliance with relevant legal and regulatory frameworks. - Detect, evaluate, and mitigate legal and commercial risks, balancing organizational flexibility with comprehensive risk management strategies. - Develop and refine standard contract templates, negotiation frameworks, and approval processes to enhance operational efficiency and consistency. - Engage with finance, product, and operational teams to guarantee contractual alignment with internal policies and strategic objectives. - Manage external legal relationships and provide guidance and mentorship to the in-house paralegal. Essential Experience - UK-qualified solicitor with 3-6 years post-qualification expertise in commercial and technology law. - Demonstrated proficiency negotiating SaaS, software licensing, and technology agreements within B2B environments. - Capability to operate independently and manage diverse workloads within a compact, dynamic legal team. - Comprehensive understanding of data protection, cloud services, and software licensing models. - Exceptional drafting, negotiation, and communication capabilities, effectively translating complex legal concepts for non-legal stakeholders. - Proven ability to harmonize commercial objectives with effective risk management approaches. - Confidence engaging directly with senior stakeholders, including CRO, sales leadership, and executive management. - Proactive, pragmatic, and commercially oriented, with an innovative problem-solving approach. Desirable Experience - Experience supporting international contracting and multi-jurisdictional negotiations. - Familiarity with data governance, AI, and emerging technology regulations. - Experience managing external counsel and/or mentoring junior legal professionals.
