Cradle is hiring a Legal Counsel, Commercial to join our lean legal team. This fully remote role, based on Eastern US time, partners with our current Legal Counsel and external advisers to support the business through a phase of expansion, focusing on providing expert legal advice to the commercial team.

What You'll Do

Support the full contract life-cycle by drafting, reviewing, and negotiating a wide range of commercial contracts.
Draft and continuously improve contract templates and playbooks, particularly for commercial agreements.
Advise on various US law matters and draft or review US contracts and other legal documents.
Stay abreast of regulations and ensure company compliance with relevant laws.
Identify and mitigate legal risks associated with the company’s business activities.
Engage with external legal advisors in Switzerland, the Netherlands, the United States, and other jurisdictions.

What We're Looking For

A US Licensed Attorney in good standing.
5+ years in a law firm or similar in-house position.
Extensive experience negotiating complex Services and/or SaaS agreements with enterprise clients in Life Sciences, Biotech, and/or Software industries.
Exceptional drafting skills, efficiency, and strong attention to detail.
Strong negotiator able to balance protecting the company's legal rights with enabling commercial deal-making.
A professional who thrives in a fast-paced environment, enjoys varied responsibilities, manages multiple tasks, and prioritizes effectively.
A self-starter who works independently yet knows when and what to escalate.
An outstanding communicator with strong interpersonal skills.
A collaborative team player, particularly with commercial teams.
A customer-centric, proactive problem-solver with high integrity.

Nice to Have

Prior experience in a scale-up or a software and/or AI technology company.
Familiarity with Swiss, Dutch, and/or German law.
Fluency in foreign languages, particularly German, Dutch, or French.

You will join a lean legal team of two, working alongside our current Legal Counsel and supported by external advisers. Cradle is focused on building a strong team culture within our distributed team across Zurich and Amsterdam.
