Responsibilities
- Deliver actionable, business-focused legal counsel on U.S. and global competition laws covering pricing strategies, distribution models, exclusivity arrangements, licensing agreements, joint ventures, data exchange practices, and trade group participation.
- Guide business teams on antitrust implications tied to routine operations, long-term strategies, and expansion into new markets.
- Support corporate transactions such as mergers, acquisitions, and divestitures with antitrust risk analysis, Hart-Scott-Rodino submissions, and international filing requirements.
- Lead coordination with regulatory agencies including the Department of Justice, Federal Trade Commission, and foreign counterparts during investigations, information requests, and compliance inquiries.
- Help strengthen the organization’s competition law compliance framework, including policy development, procedural updates, and governance enhancements.
- Evaluate antitrust risks across departments and regions to detect and reduce potential legal exposure.
- Design and conduct targeted training programs on antitrust compliance for staff at all levels, with specialized content for sales, procurement, executive leadership, human resources, and business development units.
- Track changes in competition-related legislation, regulations, and enforcement trends, and convert them into clear operational guidance.
- Advise on compliance with international, federal, and state data privacy laws such as GDPR, CCPA/CPRA, and VCDPA, along with emerging legal requirements.
- Draft, analyze, and negotiate data protection agreements, privacy clauses, vendor contracts, and mechanisms for international data transfers.
- Work alongside Security and IT departments during data incidents, supporting breach evaluations, notification duties, and corrective actions.
- Support the creation and upkeep of privacy policies, internal protocols, data retention timelines, and compliance structures.
- Perform privacy impact assessments, data flow mapping, and risk analyses for new products, technologies, and business projects.
- Provide legal insight on data handling practices, including collection, processing, storage, sharing, consent mechanisms, cookie usage, and promotional activities.
- Stay current on evolving privacy regulations and official guidance, and disseminate updates and training to relevant internal parties.
- Respond to regulatory audits, inquiries, and data subject access requests in a timely and compliant manner.
- Partner with multidisciplinary teams to integrate privacy principles into product design and operational workflows.
