Responsibilities
- Lead daily operations of the corporate paralegal team, including staffing, task allocation, attendance, and workload balance.
- Work with legal staff and practice leaders to evaluate team resourcing and ensure proper matter coverage.
- Track team capacity and assign work fairly based on client demands and priorities.
- Collaborate with attorneys and HR on performance reviews, compensation proposals, and ongoing coaching.
- Design and lead training programs to uphold legal compliance and procedural standards.
- Partner with senior paralegals and administrative leadership to assess skill gaps and build targeted learning plans.
- Deliver training on corporate legal updates, research tools, and internal workflows.
- Manage onboarding for new paralegals, covering procedures, documentation, and firm protocols.
- Provide mentorship to support professional development and team engagement.
- Oversee time tracking and payroll processes, including overtime, PTO approvals, and policy adherence.
- Review time records, ensure accurate billing codes, and generate productivity reports.
- Act as a communication bridge between the paralegal team and firm leadership on operational matters.
- Create and maintain standardized templates, processes, and best practices for consistency and efficiency.
- Work with training staff to implement workflow improvements and technology enhancements.
- Perform hands-on corporate paralegal tasks while fulfilling managerial duties.
- Assist in managing corporate transactions such as entity setups, financings, M&A, restructurings, and dissolutions.
- Draft, verify, and quality-check transaction documents, board materials, due diligence summaries, and closing binders.
- Maintain capitalization tables and manage equity records using platforms like Carta, Pulley, AngelList, and ShareWorks.
- Keep corporate records and minute books updated, including resolutions, governance documents, and officer details.
- Prepare and file statutory, UCC, Blue Sky, SEC, and other compliance-related documents with attention to deadlines.
Requirements
- Bachelor’s degree
- At least 5 years of corporate paralegal experience in a law firm, focused on venture capital, M&A, private equity, and securities
- Strong written and verbal communication abilities
- Proficient in Microsoft Office, iManage, DocuSign, and equity/deal management systems such as Carta, Pulley, AngelList, and ShareWorks
- Knowledge of Blue Sky compliance, UCC filings, and SEC reporting requirements
- Proven experience in leadership, training, mentoring, and team development
- Ability to handle confidential information with discretion
- High level of attention to detail and capacity to manage complex, high-volume transactional work
- Well-organized, proactive, and capable of working independently and collaboratively in a fast-paced setting
- Strong commitment to client service and professional excellence

Compensation
Expected base salary is $150,000 to $175,000, based on qualifications and location.
