About the Role

Responsibilities
- Handle corporate formation and governance matters for private and public entities
- Draft and review agreements related to mergers, acquisitions, and divestitures
- Advise clients on general business law and regulatory compliance issues
- Support due diligence processes in connection with corporate transactions
- Participate in structuring and negotiating equity and debt financing arrangements
- Maintain accurate corporate records and minute books
- Assist in preparing disclosure documents for securities filings
- Collaborate with cross-practice teams on complex transactions
- Provide counsel on corporate governance best practices
- Engage with clients to understand business objectives and legal needs
- Conduct legal research on corporate and securities law topics
- Review and summarize contracts for key terms and obligations
- Coordinate closing activities for corporate deals
- Monitor changes in applicable laws and regulations
- Contribute to internal knowledge management initiatives
- Ensure adherence to ethical standards and professional rules
- Manage workload efficiently under deadlines
- Communicate regularly with clients and stakeholders
- Support senior attorneys with transaction documentation
- Assist in onboarding new clients to the firm
