What You'll Do
Support the integrity of the corporate structure by ensuring compliance with legal and regulatory requirements across various international jurisdictions. You'll manage the preparation and submission of statutory filings, maintain accurate records of directors, shareholders, and beneficial owners, and monitor changes in corporate legislation that may impact the group.
Coordinate board and committee meetings by preparing agendas, distributing board materials, and documenting formal minutes and resolutions. You'll ensure all corporate decisions are properly recorded and archived, and assist with the lifecycle management of group entities, including incorporations, restructurings, and dissolutions.
Oversee the issuance of share certificates, share transfers, and allotments, maintaining up-to-date share registers. Conduct and manage due diligence processes for directors, shareholders, and third parties in line with KYC and anti-money laundering standards, and support external reporting to corporate service providers and regulators.
Work closely with legal advisors, auditors, banks, and CSPs across different regions, acting as a central point of coordination for governance-related inquiries. Provide support to internal teams on entity management, bank account setups, and compliance documentation requests.
Requirements
- Hold a degree in Law, Business, Corporate Governance, or a related field
- Demonstrate prior experience in company secretarial or corporate administration, preferably within a multinational environment or professional services setting
- Possess strong knowledge of corporate compliance and governance frameworks across multiple jurisdictions
- Show exceptional organisational ability, precision in documentation, and a methodical approach to administrative tasks
- Communicate clearly and effectively, both in writing and verbally
- Work confidently with digital tools, including corporate governance and entity management systems
- Operate independently while maintaining discretion and confidentiality with sensitive corporate information
- Display initiative, reliability, and a commitment to continuous learning
Preferred Qualifications
Progress toward, or completion of, a professional credential such as ICSA is considered a strong advantage for this role.
