SGS Australia / Fulcrum Robotics is seeking a Senior Director, Corporate Development M&A to lead regional and business unit initiatives for our external growth strategy in North America. You will own the full acquisition lifecycle, from target identification to post-merger integration, working closely with leadership and business teams.
What You'll Do
- Lead regional and business initiatives in developing and identifying suitable acquisition targets aligned with strategic goals.
- Perform valuation analysis and generate robust financial and valuation models.
- Make initial contact with potential targets and negotiate Letters of Intent.
- Work with target companies and internal teams on financial analysis, due diligence, and strategic assessment.
- Lead preparation of acquisition proposals, presentations, and documentation for CEO/CFO and Board approval.
- Oversee the due diligence process, negotiating with external accountants and coordinating with legal counsel.
- Monitor and coordinate the post-acquisition integration process with local and business management.
- Work with Group Control on post-transaction analysis, including purchase price allocation.
- Provide occasional remote support to the Corporate Development function in the South & Central American region.
- Maintain transaction information in company databases and adhere to internal standards and policies.
What We're Looking For
- Master’s degree in Business, Finance, Economics, or a similar discipline.
- Minimum 10 years of broad experience in project management, strategy, and M&A execution within a large corporation, investment bank, or private equity.
- Proven experience with successful M&A transactions throughout the entire lifecycle, including pipeline development, due diligence, deal management, and post-merger integration.
- Strong knowledge of financial modeling, valuation, and advanced proficiency in MS Office applications (Word, Excel, PowerPoint).
- Excellent planning, organizational, analytical, negotiation, and influencing skills.
- Superior communication and executive presentation abilities.
- Knowledge of Federal, State, and local laws/regulations related to M&A.
- Ability to think strategically, translate concepts into action, and generate results through influence in a matrix environment.
- Self-starter with strong leadership, attention to detail, initiative, and the ability to handle highly sensitive information confidentially.
- Advanced level of English language and reasoning skills.
