BAE Systems Intelligence & Security is hiring a Senior Assistant Company Secretary

BAE Systems Intelligence & Security is looking for a Senior Assistant Company Secretary to lead our subsidiary governance team and ensure effective governance across the Group's portfolio. You will play a key role in delivering advanced, technology-led defence and security solutions from our inclusive London office.

What You'll Do

  • Lead the subsidiary governance team and take responsibility for the effective governance of the Group's subsidiary portfolio.
  • Act as Company Secretary for designated subsidiaries and communicate the subsidiary governance framework to all relevant stakeholders.
  • Support senior directors and officers on governance, company law, and regulatory matters.
  • Manage board meetings, draft proposals and resolutions, produce minutes, and submit statutory and regulatory filings.
  • Oversee director induction programmes, governance training, and company secretarial aspects of corporate events.
  • Manage the Group's corporate structure through incorporations, strike-offs, and liquidations.
  • Contribute to plc governance reporting and advise on Articles of Association and proposed changes for domestic and overseas subsidiaries.
  • Lead on AGM preparation and support annual report processes.
  • Review statutory accounts and Directors' Reports for accuracy and compliance.

What We're Looking For

  • Chartered Governance Institute (CGI) qualified professional, or holder of an equivalent qualification.
  • Proven experience in a corporate secretariat function, ideally within a plc.
  • In-depth knowledge of the Companies Act 2006, company secretarial practices, and ancillary regulations, including Disclosure Guidance & Transparency Rules, Listed Rules, UK Governance Code, EU Market Abuse Regulation, and Shareholder Rights Directive.
  • Strong leadership skills, effectively guiding teams, managing workloads, and supporting colleagues in achieving business objectives.
  • Proficient with Blueprint/GEMS and Microsoft Office.
  • Able to advise on compliance, governance, and corporate events across subsidiaries.
  • Proven experience dealing with senior executives.
