Lowenstein Sandler is looking for a Corporate Paralegal to provide critical support to attorneys on sophisticated transactional matters. You will manage a wide range of tasks in a collaborative, entrepreneurial firm committed to client service, professional development, and an inclusive workplace.
What You'll Do
- Prepare and maintain capitalization tables and track stock options and equity compensation using platforms like Carta, Pulley, AngelList, and ShareWorks.
- Assist in drafting and filing corporate documents, including entity formations, amendments, mergers, and dissolutions.
- Conduct due diligence by reviewing and summarizing contracts and corporate records.
- Draft initial versions of closing certificates, board/stockholder resolutions, and other essential documents for M&A and other transactions.
- Maintain closing checklists and assist with logistics, including obtaining signatures and assembling closing volumes using programs such as Litera.
- Assist with preparing HSR, FINRA, and SEC filings (e.g., Forms S-1, 10-K, 10-Q, 8-K) and Blue Sky/securities filings.
- Manage corporate records, including board/stockholder minute books, meeting tracking, and resolution preparation.
- Handle statutory filings and corporate compliance matters, including UCC filings and tax-related forms.
- Oversee the maintenance of LLC and corporate books and records, ensuring compliance with legal and regulatory requirements.
- Prepare and maintain securities documentation, including stock option grants, restricted stock grants, and warrants.
- Coordinate with third parties for filings and ensure compliance with reporting deadlines for private and public companies.
- Conduct legal research using Westlaw and LexisNexis for regulatory and jurisdictional support.
- Order lien searches, summarize results, and maintain accurate company data records.
- Track key dates and deadlines to ensure timely filings and compliance.
- Order and distribute certified copies, good standing certificates, and other necessary documents.
What We're Looking For
- A Bachelor’s degree is required.
- 3-5 years of experience as a corporate paralegal, with a focus on ECVC, M&A, private equity, and securities.
- Excellent written and oral communication abilities.
- Proficiency in Microsoft Office Suite, iManage, DocuSign, and deal management software such as Carta, Pulley, AngelList, and ShareWorks.
- Familiarity with Blue Sky compliance, UCC filings, and SEC reporting.
- Ability to handle sensitive information with discretion and maintain confidentiality.
- Strong attention to detail and ability to manage complex transactions.
- Initiative, resourcefulness, and the ability to work independently and collaboratively.
- A proactive, client-service-oriented approach to problem-solving.
- Commitment to high standards of legal service and professionalism.
Nice to Have
- A paralegal certification is preferred.
- Ability to train and mentor colleagues on job responsibilities, ensuring efficient knowledge transfer and skill development.
