Liferay is hiring for a commercial legal role within our growing North America operations. This full-time position provides strategic legal advice and contract support to Sales, Partner Ecosystem, and Global Services teams. You will structure, review, and negotiate commercial agreements while supporting various non-revenue legal matters.
What You'll Do
- Structure, review, revise, and negotiate strategic framework agreements and transactional documents with customer prospects.
- Structure, review, revise, and negotiate NDAs, subcontracting, and partner agreements.
- Provide legal advice and support on all aspects of procurement, including contract negotiation, drafting, compliance, data protection, and risk management.
- Collaborate with the procurement team to structure and execute strategic sourcing initiatives in a legally compliant manner.
- Review, draft, and negotiate a wide variety of vendor agreements (e.g., vendor contracts, DPAs, technology licenses, supply agreements, service agreements).
- Provide first point of contact support for non-revenue contract related legal issues (e.g., employment agreements, leasing and purchasing agreements).
- Support the North America Marketing team in developing marketing events and activities and advise on data protection and competition law.
- Identify legal and operational risks and advise the business on options and consequences.
- Monitor regulatory changes and industry trends affecting procurement and go-to-market practices and provide proactive legal updates.
- Participate in and support overall corporate compliance and governance.
- Advise the business and general operations in commercial, competition, corporate, IT, communications, IP, and data protection matters.
- Support the continuous improvement of standard form agreements, playbooks, contract templates, and legal processes.
- Assist in developing and improving contractual frameworks for new and existing distribution models.
- Conduct legal research and monitor regulatory changes and relevant industry trends.
- Assist in establishing, rolling out, and training on company-wide policies for programs, compliance, privacy, corporate, employment, security, and intellectual property.
- Monitor company operations, policies, and product portfolio knowledge and serve as a liaison between corporate-level developments and North America go-to-market teams.
What We're Looking For
- Juris Doctor (J.D.) degree or equivalent from an accredited law school.
- Licensed to practice law in the U.S. or Canada.
- Minimum 3-5 years of relevant legal experience.
- Strong oral and written negotiation skills.
- Keen contract review, drafting, and analytical skills.
- Excellent interpersonal and communication abilities, with the capacity to explain legal concepts to non-legal audiences.
- Experience supporting cross-functional teams and managing multiple complex projects under tight deadlines.
- Work experience and strong understanding of common software development and business models in Liferay’s industry.
Nice to Have
- Understanding of data protection and privacy laws and regulations, including GDPR.
- Understanding of industry-standard information security and operational security practices.
- Familiarity with vendor management and contract lifecycle management platforms.
- Willingness to step-in and help with a 'Start-up' and 'can do' attitude.
