Responsibilities
- Draft, review, and negotiate intercompany agreements, service agreements, cost-sharing arrangements, loan and guarantee agreements, novation agreements, and corporate support documentation to facilitate operations across the group's subsidiaries.
- Support mergers and acquisitions, corporate restructurings, and capital markets activities, including due diligence, document preparation, and coordination with external advisors and internal stakeholders.
- Assist with banking, financing, and treasury-related legal matters, such as reviewing and negotiating credit facilities, derivatives documentation like ISDAs, and KYC or legal onboarding materials.
- Manage corporate governance and secretarial duties, including entity formations and dissolutions, maintaining corporate records, drafting board and shareholder resolutions, and ensuring compliance with local legal and regulatory requirements.
- Collaborate with legal team members globally and work with senior colleagues and functional leaders on strategic projects, regulatory issues, product development, business development opportunities, and legal department operations.
- Create and advise on templates, policies, and procedures to address new requirements.
- Support the preparation, filing, and tracking of legal documentation related to corporate actions, regulatory filings, and internal approvals.
Nice to Have
- Knowledge and understanding of payments, financial services, or fintech is highly desirable.
- Proficiency in Spanish is a plus.
