As the primary legal advisor for the US platform, you will design and implement repeatable legal architectures for funds backed by the organization. Your work will directly influence how fund vehicles are structured, documented, and brought to market, ensuring alignment with regulatory requirements and strategic objectives.
What You'll Do
You will develop standardized fund documentation, including limited partnership agreements, private placement memoranda, and advisory contracts, enabling efficient deployment across multiple general partners. You’ll guide structuring decisions around entity selection, co-investment arrangements, and cross-border investor considerations, balancing legal rigor with market practicality.
Ensure compliance with Regulation D by overseeing Form D submissions, investor verification processes, and disclosure delivery. Collaborate with the Chief Compliance Officer on Form ADV content, conflict disclosures, and custody rule adherence. Draft and maintain policies that identify, document, and communicate material conflicts of interest.
Manage relationships with external legal specialists, including tax and Delaware counsel, and oversee their deliverables. Conduct legal due diligence on prospective general partners, evaluating past fund terms, litigation history, and regulatory standing. Advise senior leadership on legal risks, governance frameworks, and market positioning.
Lead the negotiation and execution of service agreements with administrators, auditors, custodians, and sub-advisors. Maintain a master services agreement with GPs, updating it in response to regulatory changes or operational needs. Support GP onboarding by finalizing legal documentation and coordinating handoffs to operations and compliance teams.
Requirements
- 10–18 years of experience in investment fund law, with a focus on private equity, venture capital, or fund platforms
- Proven mastery of Delaware LPs and LLCs, fund formation documents (LPA, PPM), and Reg D offerings
- Working knowledge of the Investment Advisers Act, including custody rules, conflict disclosures, and anti-fraud provisions
- Experience managing regulatory compliance programs and coordinating with compliance officers
Preferred Qualifications
- Juris Doctor from a top-tier law school and bar admission in New York or Delaware
- Previous in-house role at a private equity firm, venture capital firm, or fund intermediary
- Exposure to European fund structures, including those based in Luxembourg or Ireland
- Familiarity with cross-border investor considerations and parallel fund setups
- Background in accounting or taxation, or CPA qualification, is advantageous
