As Givebutter's first General Counsel, you will be the founding in-house legal advisor reporting directly to the CEO. You will oversee all legal, compliance, and regulatory matters, proactively balancing legal risk with business objectives to enable the company's responsible growth. This is a foundational role for a strategic leader passionate about empowering nonprofit changemakers.
What You'll Do
- Develop and implement legal strategies aligning with Givebutter's mission and business goals.
- Ensure compliance with laws and regulations affecting the SaaS, FinTech, and nonprofit sectors.
- Draft, review, and negotiate commercial contracts, partnerships, vendor agreements, and customer terms of service.
- Identify potential legal risks and develop effective mitigation strategies.
- Advise the executive team and board on corporate governance matters.
- Manage and protect Givebutter's intellectual property portfolio.
- Partner with Product to execute global compliance and privacy obligations; act as primary Product Counsel owning the Terms of Service and Privacy Policy.
- Stay abreast of changes in laws and regulations, providing timely updates to stakeholders.
- Track and forecast the legal budget; deliver a quarterly legal-risk report to Finance and the Board.
What We're Looking For
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with the State Bar of Texas.
- 5+ years of broad legal experience.
- Proven experience advising executive teams and managing a wide range of legal matters.
- Strong understanding of contract law, corporate governance, intellectual property, and regulatory compliance.
- Excellent negotiation, communication, and leadership skills.
- Ability to work independently in a fast-paced, dynamic environment while managing multiple priorities.
- Deep fluency in commercial contracts, payments regulation (e.g., KYC/AML, card-network rules), and data privacy (GDPR, CCPA).
- Preferably experience in the technology industry and at pre-series C stage companies.
Nice to Have
- Previous experience at a law firm in addition to in-house counsel roles.
- Experience with fundraising, mergers and acquisitions, or public offerings.
- Familiarity with nonprofit organizations and related legal considerations.
- Passion for Givebutter's mission and a commitment to supporting the nonprofit community.
