The role is responsible for building and refining comprehensive corporate governance frameworks that evolve with the organization’s growth and regulatory demands. You will ensure governance standards are consistently applied across all levels, supporting long-term compliance and strategic readiness.
What You'll Do
- Design and refine governance frameworks to meet regulatory requirements and industry best practices.
- Develop and maintain governance charters, manuals, and internal documentation.
- Lead the creation, review, and implementation of group-wide policies and procedures.
- Ensure governance materials are effectively communicated and integrated into daily operations.
- Support the structure and function of board and committee governance, including mandates and meeting calendars.
- Collaborate with legal, finance, compliance, and risk teams to align governance with business processes.
- Advise leadership on governance expectations and practical implementation approaches.
- Prepare reports and updates on governance performance for senior management and oversight bodies.
- Monitor compliance across the organization and lead efforts to resolve gaps or inconsistencies.
- Support disclosures and submissions related to fundraising, audits, and potential public listing.
Requirements
- Proven experience in corporate governance, ideally within a growing or pre-IPO organization.
- Familiarity with Saudi regulatory requirements and governance standards.
- Strong understanding of board operations, committee structures, and policy lifecycle management.
- Ability to translate complex regulations into clear, actionable frameworks.
- Collaborative mindset with strong communication and influencing skills.
- Experience supporting audits, regulatory engagements, or external advisor interactions.
