Judi Health is looking for a skilled Corporate Attorney to join our legal team. You will provide comprehensive legal support for mergers and acquisitions, transactions, vendor agreements, and other corporate contracts, ensuring alignment with our strategic goals. In this role, you will work closely with our General Counsel and senior leaders to guide critical deals from diligence through integration.

What You'll Do

Draft and negotiate legal documents, including letters of intent, vendor agreements, confidentiality agreements, and purchase/sale agreements.
Conduct legal diligence for target companies to identify potential risks, liabilities, and deal-impacting issues.
Provide strategic advice on transaction structure, considering business goals, tax implications, and corporate governance.
Ensure all transactions comply with relevant laws and regulations, including securities, antitrust, and foreign investment laws.
Manage the end-to-end legal aspects of transactions and strategic relationships, serving as the central point of contact through closing.
Assist in the legal and operational integration of companies post-transaction.
Advise internal clients on legal risks and suggest mitigation strategies.
Work with cross-functional teams including finance, corporate development, accountants, tax advisors, bankers, and other lawyers.
Communicate complex legal issues clearly to business stakeholders and act as a key advisor and confidant to the General Counsel.
Develop and implement legal strategies aligned with the company's overall business objectives.
Use strong negotiation skills to navigate complex deals and resolve disputes.

What We're Looking For

Juris Doctor (J.D.) from an accredited law school.
Active bar membership in the relevant jurisdiction.
7+ years of experience in M&A law.
Proven history of high achievement in M&A.
Strong understanding of corporate finance and securities regulations.
Excellent negotiation and communication skills.
Proficiency in legal research and contract drafting.
Effective time management and organizational abilities.

Nice to Have

Advanced degree in business or finance.
Healthcare industry background.

Team & Environment

You will work closely with the General Counsel and senior leaders of the Company. You will also collaborate with a team of professionals, including the finance team, corporate development team, accountants, tax advisors, bankers, and other lawyers.

Benefits & Compensation

Salary: $250,000 - $320,000 USD

Work Mode

This is a hybrid role. Candidates local to the New York, NY area will work a hybrid schedule. Non-local candidates will be considered for a remote work arrangement.
