What You'll Do
As Legal Counsel, you will play a key role in advancing corporate legal initiatives, primarily centered on mergers and acquisitions and commercial agreements. You will prepare and review transaction documents, offer guidance on structuring deals, and ensure legal compliance throughout the transaction lifecycle.
You'll work closely with the corporate development team, external legal advisors, financial institutions, and regulatory bodies to facilitate smooth transactions. Your responsibilities will include negotiating terms, assessing legal risks, and delivering practical legal solutions aligned with business goals.
In addition to transactional work, you will support general corporate legal functions such as maintaining corporate records, managing share issuances, and advising on complex commercial contracts. You will also contribute to cross-departmental initiatives, ensuring legal considerations are integrated into strategic decisions.
Requirements
- Holding a Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) degree
- Authorized to practice law in the Province of Manitoba
- 1 to 3 years of post-call experience in legal practice
- Background in corporate and commercial law, with demonstrated drafting and negotiation abilities
- Proven capacity to analyze complex legal issues and deliver actionable advice
- Strong organizational skills and the ability to manage multiple projects independently
- Willingness to engage across various legal domains and grow professionally within the organization
Preferred Qualifications
Direct experience in mergers and acquisitions is highly valued and will enhance your ability to contribute from the outset.
