Canada Life is hiring a Corporate Legal Counsel to provide critical legal support to its Wealth and Asset Management businesses. Reporting to the Assistant Vice President and Senior Legal Counsel, Asset Management, you will deliver practical, risk-based advice on securities laws and investment fund distribution, working closely with other legal counsel and business leaders.
What You'll Do
- Work collaboratively with business partners to provide practical, risk-based legal advice on a wide range of issues affecting wealth and asset management.
- Draft disclosure documents for the initial and ongoing offering of investment funds.
- Draft and negotiate key contracts and exemption applications for investment products offered to individuals.
- Participate in the development of new products and the restructuring of existing products.
- Support institutional investment management activities.
- Negotiate contracts including sub-advisor agreements, custody agreements, service agreements, and other corporate contracts.
- Conduct research and provide advice on complex legal issues regarding regulatory requirements and changes, including securities laws.
- Provide advice on regulatory issues applicable to registered individuals and firms.
- Develop legal structures for new and innovative investment products and services.
- Review marketing documents.
What We're Looking For
- Law degree and membership in a provincial bar.
- At least 3 years of relevant legal experience in a law firm, corporation, or securities regulatory body.
- Practical knowledge of Regulation 31-103 and regulations 81-101 to 81-107, mutual funds and other pooled funds, institutional investments, securities, and corporate law.
- Strong motivation, autonomy, and teamwork skills.
- Excellent written and verbal communication skills with practical, solution-oriented judgment.
- Demonstrated ability to draft agreements or public disclosure documents.
- Ability to proactively manage multiple projects.
- Rigor and strong attention to detail.
- Proven ability to analyze, simplify, and solve complex problems.
- Strong organizational and exceptional time management skills, with experience managing multiple projects simultaneously.
- Willingness to learn and work in a constantly changing professional environment.
Nice to Have
- Experience on an independent review committee.
- General knowledge of investments and successful completion of the Canadian Securities Course or the Canadian Investment Funds Course.
- Experience related to portfolio managers or private wealth management.
Team & Environment
You will be part of the Legal Affairs team, reporting to the Assistant Vice President and Senior Legal Counsel, Asset Management. You will work closely with other legal counsel and business leaders across the organization.
Benefits & Compensation
- Base salary range: CAD 120,800 - CAD 180,800 per year.
