IFS is seeking a Corporate Legal Counsel to provide dedicated support for the Copperleaf business. In this role, you will be responsible for supporting global go-to-market teams, including sales and consulting, as well as handling partner and supplier matters within a fast-paced, AI-first enterprise SaaS environment.

What You'll Do

Structure, draft, negotiate, and close SaaS, software, support, and cloud contracts with customers, collaborating cross-functionally with Finance, Infosec, and Customer Experience.
Champion AI advancement in the legal function, including management of a CLM platform and agents, to drive automation.
Lead negotiation of master agreements, NDAs, statements of work (SOWs), order forms, and tender responses, primarily on company templates but also on counterparty paper.
Develop and refine playbooks and corporate standards and ensure governance of contractual terms against these playbooks and standards.
Work with legacy contracts, including reviewing existing terms and negotiating amendments to align with current terms.
Review, draft, negotiate, and help close contracts with partners and suppliers.
Provide accurate, pragmatic, and timely legal advice across a range of commercial and operational matters.
Dive into other ad-hoc tasks and projects as needed, including using Legal AI tools and working with other teams.
Work collaboratively with the broader IFS legal team by sharing knowledge, helping team members, and sharing areas of expertise.
Maintain a deep industry knowledge including new legal and regulatory developments affecting SaaS businesses.

Proven experience structuring, drafting, and negotiating SaaS, software, and cloud contracts in an enterprise environment.
Demonstrated ability to handle a high volume of complex commercial agreements.
Strong understanding of legal and regulatory developments impacting SaaS businesses.
Excellent communication and collaboration skills for cross-functional work.
Ability to provide pragmatic, timely legal advice on commercial matters.

Nice to Have

Experience championing the use of AI and automation within a legal function.
Direct experience managing or working extensively with a CLM platform.
Familiarity with reviewing and amending legacy contracts to modernize terms.
Background supporting a global go-to-market team in a fast-paced tech company.
