Scale LLP is hiring a Corporate Associate to join our remote-first firm. You will report directly to Corporate Practice Group Partners, supporting clients on venture financing, entity formations, securities compliance, and general corporate matters. This role offers substantial client contact, professional growth, and mentoring in a distributed environment built for high-performing attorneys.
What You'll Do
- Support clients on venture financing transactions, including SAFE, convertible debt, and equity.
- Handle entity formations for C-corp, S-corp, and LLC structures.
- Draft shareholder agreements and LLC operating agreements.
- Take board minutes and draft corporate resolutions.
- Administer stock option plans and manage capitalization tables.
- Prepare federal and blue sky securities filings.
- Work directly with attorneys who have in-house and BigLaw experience.
- Practice law remotely from home while being fully engaged during normal business hours.
What We're Looking For
- At least 3-5 years of experience working with corporate clients at a top-tier law firm.
- Meaningful experience with venture financing transactions and general corporate matters for emerging companies.
- Enthusiasm for expanding skills to meet a variety of needs across the practice group.
- Demonstrated initiative, availability, and eagerness to thrive in a distributed environment.
Nice to Have
- Experience with mergers and acquisitions, including drafting asset purchase agreements and joint venture agreements.
- Experience with public company reporting.
- Experience with commercial contracts or a willingness to learn.
- Working knowledge of securities issuances, transfers, and repurchases, including compliance with federal and state regulations.
