Represent HSI and its subsidiaries across extensive corporate legal domains. Deliver superior, accountable, and streamlined legal consultation to the Company's respective business segments. Recognize and evaluate numerous diverse and intricate business and legal challenges. KEY RESPONSIBILITIES: Compose, examine, and support negotiation of diverse commercial contracts (encompassing confidentiality, distribution, and customer agreements). Support senior attorney in advising and representing the Company during domestic and international mergers and acquisitions, including facilitating comprehensive due diligence and supporting drafting, reviewing, and negotiating acquisition or divestiture agreements. Aid senior attorney regarding specific federal securities law analysis (Securities Act and Securities Exchange Act), including preparation and review of associated public filings and reporting requirements. Support senior attorney in drafting, reviewing, and negotiating technology agreements including software and data licensing, cloud services, and professional services contracts. Evaluate sales, marketing, and promotional materials for legal compliance. Provide counsel on data security and privacy considerations. Deliver comprehensive counsel, guidance, and support to various business units regarding routine legal matters, existing commercial arrangements, specialized projects, and emerging business initiatives. Coordinate corporate governance matters and intellectual property management and maintenance. Supervise and monitor external corporate legal representation. Contribute to developing legal documentation, templates, guidelines, and resource materials for the legal department. Support employment counseling and litigation efforts, including guidance on disciplinary procedures, internal policies, and wage-related issues. Assist with litigation matters and provide comprehensive counsel to business units across various legal domains, including non-compete agreements, commercial disputes, regulatory compliance, antitrust, intellectual property, product liability, and bankruptcy proceedings. WORK EXPERIENCE: Position requires minimum 2+ years of law firm or in-house experience post bar admission. PREFERRED EDUCATION: Juris Doctor degree required, with candidate maintaining good standing in applicable state Bar. Compensation range: $112,003 to $175,005, reflecting starting base salary for new-to-role employees.
