Remote Raven is seeking a Remote Attorney to provide legal and administrative support across Commercial Real Estate Transactions, Corporate Law, and Securities Regulation. This role will assist the legal team by handling document drafting, transaction coordination, compliance management, and legal research.
What You'll Do
- Perform Basic / Form Agreement Review, including documents such as Non-Disclosure Agreements (NDAs), Subordination, Non-Disturbance, and Attornment Agreements (SNDAs), and other standard legal forms.
- Draft Initial Template Agreements, which may include Asset/Target Asset Representation (AAR/TAR) agreements, Tenancy in Common (TIC) Agreement paperwork, Estoppel Agreements, and basic lease amendments.
- Handle Securities Filings, such as Form D filings, Accredited Investor Verification Letters, and Subscription Agreements.
- Manage Legal Due Diligence (D/D) Transaction Coordination for refinances and acquisitions.
- Manage Entity Formation and Compliance, including filing formation documents in the applicable jurisdiction.
- Manage compliance with statutory agent and annual reporting requirements.
- Maintain the organizational chart and entity map.
- Assist with 3rd Party Report Audits, including review and input on documents like ALTA Surveys, Phase I Environmental Site Assessments (ESAs), Zoning Reports, and Property Condition Assessments (PCAs).
- Provide Management of Debt Covenants, which involves managing and updating the debt tracker for loan covenants and managing those covenants alongside the asset management team (where applicable).
- Perform Legal Research on legal uncertainties and summarize findings in a memo or brief for review.
- Handle Marketing Compliance, reviewing and advising on routine marketing communications from a legal compliance perspective, and bringing uncertainties to the legal counsel.
- Assist with New Hire Onboarding, including drafting the offer letter and employment agreement, and obtaining necessary tax forms.

- Licensed attorney or JD

- Familiarity with the legal aspects of commercial real estate transactions, corporate law, and/or securities regulation is highly preferred.
- Strong document management and drafting skills.
- Excellent research abilities and experience writing legal memos or briefs.
- Proficiency in compliance tracking and legal administration.
