Lola Blankets is seeking an experienced Corporate Paralegal to join our growing, national corporate practice. You will bring a process-driven approach to servicing corporate clients, maintaining company records, and supporting attorneys across all aspects of corporate legal work.
What You'll Do
- Support the firm's national corporate practice and network.
- Maintain and organize company records and client minute books.
- Work with attorneys to deliver support across all corporate legal work for multiple companies.
- Support entity formation, corporate governance, debt and equity financing transactions, mergers and acquisitions, and equity administration.
- Maintain and update capitalization tables using equity management platforms such as Carta.
- Coordinate corporate approvals, including drafting resolutions, written consents, and agreements, and managing electronic execution via platforms like Adobe Sign and Dropbox.
- Facilitate corporate governance and entity recordkeeping, including preparation of materials for board and committee meetings.
- Administer stock option grants and other equity compensation arrangements, including preparing grant notices and coordinating stock issuances.
- Oversee annual and other required governmental filings.
- Manage compliance calendars for corporate entity filings and regulatory requirements.
- Manage contract review and coordination, including maintaining NDA templates and employment agreements.
- Create, organize, and administer virtual data rooms for financings, M&A transactions, and other corporate events.
What We're Looking For
- 3+ years of ECVC paralegal experience in a corporate law setting.
- A bachelor's degree, associate’s degree, or completion of a paralegal program of study.
- Strong Microsoft Office skills (Word, Excel, Outlook).
- Advanced proficiency in maintaining capitalization tables using platforms like Carta.
- Strong background in coordinating corporate approvals and managing electronic execution via Adobe Sign and Dropbox.
- Demonstrated ability to facilitate corporate governance and entity recordkeeping matters.
- Direct involvement in administering stock option grants and other equity compensation arrangements.
- Proven proficiency in creating, maintaining, and managing client minute books and overseeing required filings.
- Demonstrated capability in managing compliance calendars for corporate entity filings.
- Working knowledge of contract review and coordination, including maintaining standard legal forms.
- Proficiency in creating, organizing, and administering virtual data rooms.
