Responsibilities
- Draft, review, and negotiate commercial agreements such as mining services contracts, supply agreements, consulting deals, equipment leases, financing arrangements, confidentiality agreements, and settlement agreements.
- Offer legal assistance to operational and business development teams during the entire lifecycle of projects and commercial relationships.
- Identify and reduce contractual, commercial, and operational risks.
- Support board and committee governance activities.
- Help prepare corporate governance documents, resolutions, minutes, and corporate records.
- Coordinate with external legal counsel and advisors across multiple jurisdictions.
- Support compliance, ethics, regulatory, and risk management efforts.
- Provide legal guidance on employment-related matters and investigations.
- Assist in managing litigation, labor issues, and disputes through external counsel.
- Help develop practical risk-mitigation strategies and settlement approaches when appropriate.
- Assist with public company governance and continuous disclosure obligations.
- Support sustainability, ESG, and stakeholder-related initiatives.
- Review public disclosures, reports, and corporate communications as needed.

Compensation
Salary paid twice per month; bonus included
Work Arrangement
Hybrid — Toronto, Ontario, Canada, Canada, Mexico, US; rotation: Hybrid 5/2 (MON-FRI) 3 days per week in office; shift: 8 hours per day (8am-5pm with one hour for lunch)
