Neighborly Software is hiring a Lead Contract Attorney

Responsibilities

  • Lead the full lifecycle of sales agreements, including SaaS contracts, master service agreements, and amendments, with limited escalation to senior legal leadership.
  • Support complex technology and sales arrangements such as reseller, partner, and subcontractor agreements, along with data processing and service level terms.
  • Negotiate critical risk areas including liability limits, indemnification clauses, insurance requirements, and data protection obligations.
  • Oversee multiple active contracts simultaneously, ensuring alignment with organizational risk policies and escalating high-risk items as needed.
  • Evaluate and respond to public sector procurement requests, including RFPs and RFQs, in compliance with regulatory standards.
  • Identify and escalate unusual or high-exposure terms in government contracts for further review.
  • Ensure adherence to procurement regulations, grant conditions, and data security mandates in public-sector engagements.
  • Assess subcontracting terms and downstream obligations in third-party partner agreements.
  • Collaborate with Sales and Finance teams to guide deal structuring, renewals, and resolution of legal issues during negotiations.
  • Serve as initial legal point of contact for complex matters involving Product, Security, or Compliance, with final sign-off by senior counsel.
  • Develop and refine standard contract templates, negotiation playbooks, and company-wide legal positions.
  • Monitor and report recurring contractual challenges or negotiation trends to senior legal leadership.
  • Support internal compliance initiatives related to data privacy and information security practices.
