Responsibilities
- Create and update standard limited partnership agreements, private placement memoranda, Regulation D offering documents, and sub-advisory agreements for funds backed by the platform.
- Provide guidance to general partners on choosing between Delaware limited partnerships and limited liability companies, structuring co-investments, setting up parallel funds for US taxable and foreign investors, and designing feeder structures.
- Examine and negotiate advisory agreements between the platform and each general partner sub-adviser, ensuring proper delegation, oversight, and liability distribution.
- Coordinate Regulation D compliance by managing Form D submissions, investor accreditation verification, and delivery of offering memoranda.
- Collaborate with the chief compliance officer on Form ADV disclosures, material conflicts of interest, and regulatory obligations.
- Develop conflict of interest policies and disclosure matrices, ensuring all significant conflicts are recorded and communicated.
- Advise on anti-money laundering and know-your-customer procedures, as well as custody rule compliance.
- Monitor SEC guidance and private fund regulations, assess their effect on the platform, and update templates accordingly.
- Draft custodial agreements, fund administration service agreements, and audit engagement letters.
- Oversee contracts with service providers such as custodians, auditors, administrators, and tax advisors.
- Manage the platform's master service agreement with general partners and revise it as operational or regulatory needs change.
- Perform legal due diligence on prospective general partners, including reviewing prior fund documents, relevant litigation, and regulatory history.
- Advise the managing director and investment committee on legal risks, documentation of general partner track records, and any regulatory concerns.
- Supervise the onboarding of general partners, including final documentation, investor communications, and legal handoffs to operations and compliance teams.
- Advise the managing director on market positioning, competitive fund structure comparisons, and emerging regulatory trends.
- Participate in investment committee meetings to identify legal and regulatory risks early.
- Build relationships with specialized external counsel, such as tax lawyers and Delaware attorneys, and manage their engagements.
