Responsibilities
- Oversee end-to-end contract processes including initiation, creation, evaluation, negotiation, signing, modifications, extensions, and termination for client, vendor, partner, and third-party agreements such as master service contracts, work orders, and confidentiality agreements.
- Examine contractual terms, special conditions, and provisions related to cost, deliverables, intellectual property, data protection, service standards, and liability limits to detect potential risks and confirm adherence to organizational guidelines and legal requirements.
- Formulate negotiation approaches and lead or assist in discussions under tight deadlines; propose solutions, record positions, and escalate atypical terms for authorization when necessary.
- Create, update, and finalize contract documentation for internal review, approval, and execution, ensuring correctness, thoroughness, and proper sign-off before finalization.
- Orchestrate the contract review workflow by engaging internal departments such as Sales, Compliance, Finance, Legal, IT Security, and leadership to verify needs and resolve discrepancies efficiently.
- Assess and manage requests for modifications to contracts, including addenda, change orders, and updates to work statements; track versions and preserve a clear audit trail of approvals and exceptions.
- Administer signed contracts by monitoring critical responsibilities, outputs, deadlines, renewal dates, and notification timelines; assist with compliance monitoring and contract conclusion tasks.
- Enhance contract administration frameworks, digital tools, workflows, templates, standard clauses, and negotiation guides to improve efficiency and reduce processing time.
- Advise internal teams on interpreting contract language and commercial conditions; contribute to training initiatives and communication efforts to ensure uniform contract practices.
- Keep precise records of contracts and generate reports using contract management systems; track and analyze performance indicators such as processing duration, renewal forecasts, and deviations, providing updates to executives as needed.
- Support business-related contract issues involving licensing, data usage, renewals, and new opportunities; collaborate with stakeholders to ensure prompt execution and deployment.
