Hydrosat is hiring an Associate Legal Counsel

Responsibilities

  • Assist with corporate governance activities for entities in the U.S., Luxembourg, and the Netherlands, including preparing board and shareholder documentation, resolutions, and maintaining official records.
  • Oversee the formation, maintenance, and dissolution of legal entities, ensuring compliance with local requirements through coordination with service providers and outside counsel.
  • Contribute to the design and implementation of employee benefit and incentive programs.
  • Provide legal support during fundraising efforts, financing rounds, and corporate transactions, including due diligence, data room setup, and document preparation.
  • Strengthen the company’s compliance framework covering export controls (such as ITAR, EAR, and EU dual-use regulations), trade sanctions, anti-corruption policies, and conflict-of-interest protocols.
  • Create, implement, and update internal compliance policies, operational procedures, and training initiatives to promote a culture of legal and ethical accountability.
  • Collaborate with internal teams and external advisors to ensure adherence to data privacy laws, including GDPR.
  • Track evolving regulations related to Earth observation, satellite operations, spectrum use, and remote sensing licensing, and evaluate their impact on business operations.
  • Draft, review, and negotiate various agreements, including NDAs, vendor contracts, teaming arrangements, and intercompany deals, referring complex issues when necessary.
  • Deliver practical legal advice to business units to help identify, assess, and mitigate legal and regulatory risks.
  • Supervise external legal counsel across different jurisdictions, managing project scope, deadlines, and expenses.
  • Assist the General Counsel with special legal, governance, and strategic initiatives as the organization scales.
