Responsibilities
- Create and manage corporate governance records such as consents, meeting minutes, and resolutions, ensuring accuracy and completeness of corporate files.
- Prepare and review materials for Board and Committee meetings, including presentations and supporting documents, to ensure quality and consistency.
- Update and maintain foundational governance documents, including organizational charters, officer and director appointments, and related approvals.
- Orchestrate the scheduling and logistics of governance activities, track required approvals, manage action items, and operate board portal systems, with preference for experience in Boardvantage.
- Handle equity-related processes, including transfers, co-investment agreements, and associated corporate authorizations.
- Collaborate with HR and Finance teams to implement equity actions accurately and on schedule using equity administration platforms.
- Maintain equity plan materials, templates, and communications, supporting periodic updates and compliance initiatives.
- Coordinate financing and securities transactions, including internal alignment and preparation of necessary approvals and documentation.
- Lead the legal coordination for financing and securities matters by gathering internal input, monitoring deliverables, and reviewing drafts from external counsel, including consolidating feedback.
- Produce and maintain monthly reporting tools and trackers required under debt agreements, and assist with ongoing compliance and disclosure obligations.
- Support the management of intellectual property and brand assets, including recordkeeping and process support.
- Review corporate and branding materials in coordination with internal teams as needed to ensure legal accuracy and alignment.

Base salary varies based on experience, expertise, location, and skills; includes potential for annual cash bonus and a comprehensive benefits package covering medical, dental, vision, life insurance, and 401(k).
